Manager Tax Mergers and Acquisitions
Job Responsibilities:
In this role, the Manager will be responsible for overseeing various tax-related aspects of acquisitions, divestitures, and internal restructurings. Key responsibilities include:
- Reviewing and structuring corporate acquisitions, divestitures, and reorganizations to ensure they are tax-efficient.
- Coordinating and performing tax due diligence for acquisitions and reverse tax due diligence for divestitures.
- Reviewing and commenting on transaction-related contracts for acquisitions, divestitures, and internal restructurings.
- Representing the company in managing IRS . federal income tax examinations and tax controversies, as well as . state income tax examinations.
- Investigating, recommending, and implementing actions to minimize . tax liabilities.
- Advising company management and corporate departments on tax-related matters.
- Reviewing court decisions, existing laws and regulations, and advising management on their effects to ensure compliance with . federal tax laws.
- Preparing requests for accounting method changes, rulings, refund claims, and protests, and assisting in negotiating settlements with taxing authorities.
- Recommending adoption of and changes in tax policy by the company.
- Coordinating with outside counsel on tax matters when appropriate.
- Advising management on the tax aspects of charitable giving.
- Providing technical assistance to the tax compliance group for return preparation, including calculations of tax basis and analysis of . tax attributes.
- Advancing professional growth through learning and applying new knowledge to tasks and seeking new assignments.
Education and Experience Information:
For this role, candidates need:
- Experience with . international and/or . state tax matters is a plus.
- A minimum of five years of concentrated experience in the relevant areas of responsibility with a $1 Billion + multi-national corporation or tax department of either a large law firm or a “Big 4” accounting firm, or a combination thereof. The ideal candidate should have a mix of legal and tax accounting experience.
- Legal authorization to work in the United States, with no sponsorship provided for this role.
Preferred qualifications include:
- A . or graduate degree in Tax with meaningful tax/financial accounting experience.
