Job Overview: A reputable law firm in Kansas City is seeking an experienced Corporate Associate Attorney with at least five years of corporate and transactional expertise, including mergers and acquisitions. The ideal candidate will be capable of managing complex corporate cases independently and providing strategic legal counsel across various business and corporate governance matters. This position offers an opportunity to work on high-stakes deals while collaborating with a dynamic team of professionals.

Duties:

  • Manage all facets of corporate mergers and acquisitions, including due diligence, deal structuring, and preparing transactional documentation.
  • Provide advisory services on succession planning strategies for businesses.
  • Review, draft, and negotiate a variety of contracts, including vendor agreements, employment contracts, and partnership agreements.
  • Offer counsel on corporate governance issues, including board of directors matters and shareholder rights.
  • Advise on fiduciary duties, responsibilities of shareholders, and relationships between company members and shareholders.
  • Address estate planning matters and corporate compliance across multiple industries.
  • Identify potential legal risks and propose steps to mitigate them.
  • Conduct legal research to inform business decisions related to corporate governance, complex contracts, and regulatory compliance.

Requirements:

  • At least 5 years of corporate and transactional legal experience, with a focus on mergers and acquisitions.
  • Licensed to practice law in Missouri and Kansas (additional state licensure is a plus).
  • Strong independent work ethic with the ability to handle complex legal matters.
  • Experience managing corporate governance and advising on shareholder matters.
  • Knowledge of fiduciary duties, contract law, and estate planning.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Bar membership in Missouri and Kansas.

Skills:

  • Exceptional legal research, writing, and drafting skills.
  • Strong negotiation skills with the ability to manage complex transactions.
  • Expertise in corporate governance, mergers, acquisitions, and business law.
  • Ability to work independently and handle high-pressure situations.
