M&A Associate The candidate will advise clients in relation to mergers, acquisitions, dispositions, restructurings, joint ventures and similar business transactions for blue chip corporate clients, international private equity funds, and large privately-owned businesses in highly visible transactions across various industries and sectors, in particular the technology sector (including in Germany and other European countries). Draft and negotiate the documentation to implement and effect such transactions. Perform legal due diligence in connection with such transactions. Conduct legal research and advise clients on corporate governance, fiduciary duties and other legal issues arising in the context of such transactions. Manage large teams of lawyers across different practice groups and jurisdictions (cross-border M&A). Supervise three junior associates and paralegals.
Qualification and Experience The candidate must have a Juris Doctorate or Master of Laws degree and 5 years of experience with highly visible cross-border M&A transactions for blue chip corporate clients, international private equity funds, and large privately-owned businesses, including restructurings, joint ventures, and similar business transactions in Germany and other European jurisdictions. Experience must be across various industries and sectors, in particular the technology sector, either through advising technology companies on M&A transactions or advising PE clients in relation to M&A transactions in the technology field and must include managing teams of lawyers across different practice groups and jurisdictions. Must be licensed to practice in California or be able to obtain license shortly after commencing position.
