Job Description:

The law firm is seeking a mid-level Associate to join its Business Group as part of the Capital Markets & Securities and Corporate Governance practice team. The candidate will work with regional and national clients on a variety of corporate transactions and securities matters. Responsibilities include preparing and reviewing SEC filings, providing securities support for mergers and acquisitions, and maintaining governance policies and practices. The ideal candidate will have knowledge of federal securities laws, experience with SEC filings, and the ability to provide support for mergers and acquisitions and other corporate transactions. The position may be located in multiple offices including Atlanta, GA; Cincinnati, OH; Cleveland, OH; Columbus, OH; Orlando, FL; or Washington, DC.

Qualifications:

- 4-7 years of experience in corporate transactions and securities law
- Knowledge of federal securities laws, rules and regulations and listing standards
- Experience preparing and reviewing SEC filings
- Experience assisting with maintaining governance policies and practices
- Knowledge of annual shareholder meeting requirements and mechanics
- Experience in public and private securities offerings
- Ability to provide securities support for mergers and acquisitions and other corporate transactions
- Effective and detail-oriented writing and oral communication skills
- Ability to manage a fast-paced workload while maintaining priorities and anticipating issues
- Admission to practice law in the state where the candidate will reside
