Corporate and Securities Paralegal - St. Louis, Missouri

Job Summary:

- Provide legal support and project management for corporate governance, securities transactions, litigation, and other corporate matters.
- Must have strong understanding of securities laws and ability to handle multiple tasks in a fast-paced environment.

Responsibilities:

- Assist with preparation, review, and filing of documents with the SEC.
- Ensure company's compliance with SEC regulations and corporate governance guidelines.
- Manage equity administration process and insider trading activities.
- Support legal team with corporate governance and board management matters.
- Conduct legal research on SEC regulations and advise legal team on compliance requirements.
- Assist with securities offerings, repurchases, and other SEC compliance transactions.
- Update and review training programs for employees on SEC compliance and corporate governance.
- Provide support for litigated matters and pre-litigation investigations.
- Assist with mergers and acquisitions activities as needed.

Qualifications:

- Bachelor's degree in Paralegal Studies, Legal Studies, or related field.
- Minimum 5 years of experience as a paralegal with focus on SEC compliance.
- Strong knowledge of SEC regulations, securities laws, and corporate governance principles.
- Proficiency in legal research tools and databases.
- Excellent organizational and project management skills.
- Strong written and verbal communication skills.
- Able to work independently and manage multiple projects with competing deadlines.
- Proficiency in Microsoft Office Suite and other relevant software.
- Professionalism, integrity, and ability to maintain confidentiality.
- Exposure to litigation preferred or willingness to learn litigation paralegal matters.

Salary: $35,175
