Job Overview: An established law firm is seeking a talented midlevel Corporate M&A Associate for its Charlotte office. The ideal candidate will have 3 to 5 years of experience in corporate mergers and acquisitions, with a focus on private equity transactions. This is an exciting opportunity to work on high-level transactions and join a dynamic team at a leading law firm.

Location:

Duties:

  • Draft, review, and negotiate merger agreements, stock and asset purchase agreements, letters of intent, and related documents.
  • Manage significant responsibility for closing M&A transactions and related corporate deals.
  • Conduct due diligence reviews on transactions.
  • Handle private equity transactions and advise on partnership agreements, joint ventures, and LLC operating agreements.
  • Advise clients on general corporate matters, including business entity structuring and general corporate governance.
  • Participate in the Representation and Warranty Insurance underwriting process and address related issues.

Requirements:

  • 3 to 5 years of Corporate M&A experience.
  • Private equity transaction experience preferred.
  • Proven ability to manage and close M&A transactions.
  • Experience with various corporate governance structures, including LLCs and partnerships.
  • Strong due diligence and negotiation skills.

Education:

  • JD from an accredited law school.

Certifications:

  • Licensed to practice law in the state of North Carolina or eligible for admission.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Strong client service orientation and business acumen.
