## Associate General Counsel Global Partners LP is looking for an Associate General Counsel to join their Corporate Headquarters in Waltham, MA. This is a full-time position with a hybrid work policy of 3 days in office/2 days remote. As an Associate General Counsel, you will work under the direction of a Deputy General Counsel and collaborate with team members and senior management to manage financing transactions, support other corporate transactions, and work on SEC and other regulatory compliance matters. ### Responsibilities - Work with finance and treasury teams and outside counsel to review, negotiate and manage public and private financing transactions (credit agreements and/or renewal(s), equity and/or debt issuances, tenders and redemptions), and provides ongoing compliance and legal support in connection therewith. - Collaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials. - Provide legal advice and support to finance, treasury, accounting and tax departments. - Ensure compliance with SEC and NYSE rules and regulations. - Provide legal support for other regulatory and compliance matters. - Monitor and maintain awareness of pending regulations and developments that are relevant to the Company’s business interests, particularly relating to corporate governance and public company matters. - Review Global’s SEC filings, including periodic reports (10-Qs and 10-Ks), prepares current reports (8-Ks), Section 16 filings, securities offerings and other related filings, and reviews and analyzes other publicly traded entities’ SEC filings. - Work with the Deputy General Counsel and Chief Legal Officer to oversee and provide support to the Board of Directors and its Committees in the areas of public disclosures, applicable law, corporate governance and policies, oversight responsibilities, executive compensation and other public company obligations and best practices. ### Qualifications and Experience - A law degree from an accredited . law school and are a member of the bar in at least one state where Global operates its businesses (preferably Massachusetts). - At least 4-7 years of in-depth experience in a corporate or transactional law firm and/or in house working directly with operations, legal and finance teams. - Experience in oil and gas industry, renewable energy and/or retail a plus. ### The Types of “Energy” You Bring - Strong analytical skills for decision making for or on behalf of Global using logical thought processes and appropriate analysis. - Effective communication skills, both written and oral, that make you an excellent negotiator who helps their client and the organization achieve a “win-win feeling”. - Identify the appropriate risks to take using your professional knowledge and understanding about the nature and extent of risk involved and can guide clients against the adversities which may arise in connection with transactions. - Exceptionally good at time management and are an effective multitasker. - The capacity and capability to face any challenge in the due course of both day-to-day business operations and transactions with self-assuredness and a calm mind. - Understand the big picture of the business and it influences your day-to-day work and efforts. - Take a leadership role and do not wait for opportunities to present themselves.
