A law firm is seeking a Benefits And Executive Compensation Associate Attorney for their San Francisco, CA office. The ideal candidate should possess 4-6 years of experience and demonstrate expertise in employee benefits matters, including but not limited to qualified retirement plans, health and welfare plans, fiduciary governance, nonqualified plans, and advising on compensation and benefits issues in corporate transactions, including ESOP transactions.

Job Overview:

  • Provide legal counsel and support on employee benefits and executive compensation matters.
  • Advise clients on various aspects of employee benefit plans and executive compensation arrangements.
  • Assist in drafting and reviewing plan documents, agreements, and related materials.
  • Conduct research and analysis on relevant legal issues and regulatory developments.
  • Collaborate with other attorneys and professionals to deliver comprehensive solutions to clients.
  • Stay abreast of changes in laws, regulations, and industry trends affecting employee benefits and executive compensation.

Duties:

  • Advise clients on the design, implementation, and administration of employee benefit plans.
  • Draft and review plan documents, amendments, and participant communications.
  • Assist in negotiating and drafting executive compensation agreements and arrangements.
  • Guide compliance with ERISA, tax, and other applicable laws and regulations.
  • Conduct due diligence and advise on benefits and compensation matters in corporate transactions.
  • Assist with resolving legal issues and disputes related to employee benefits and executive compensation.

Requirements:

  • 4-6 years of experience practicing law with a focus on employee benefits and executive compensation.
  • Strong knowledge of ERISA, tax laws, and regulatory requirements governing employee benefit plans.
  • Experience advising clients on qualified retirement plans, health and welfare plans, and nonqualified deferred compensation arrangements.
  • Excellent writing, communication, and analytical skills.
  • Detail-oriented with a proactive and problem-solving mindset.
  • JD from an accredited law school and admission to the California bar.
  • Large law firm benefits experience preferred.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar.

Skills:

  • Proficiency in legal research and analysis.
  • Ability to communicate complex legal concepts effectively.
  • Strong drafting and negotiation skills.
