- Represent private fund sponsors and institutional investors in all aspects of fund formation, structuring, and compliance

Job Description:

McGuireWoods, a top-ranked corporate law firm, is seeking an experienced Associate to join our Corporate and Private Equity Department in our Los Angeles - Century City office. This is a lateral position with the opportunity to work on a variety of complex fund formation matters for private fund sponsors and institutional investors.

Job Responsibilities:

- Involved in all aspects of fund formation, including structuring, capital raising, compliance, and ongoing management of alternative investment funds
- Work with various types of funds, including private equity, real estate, mezzanine, hedge, and hybrid funds
- Draft and negotiate limited partnership and limited liability company agreements
- Review fund documents and identify any issues on behalf of institutional investors
- Prepare offering documents and ensure compliance with securities laws
- Familiarity with the Advisers' Act and related exemption, registration, and compliance issues for fund managers
- Interact and advise legal and business professionals throughout the fund formation process
- Work independently with clients and colleagues
- Participate in national searches in various markets
- Strong academic record, excellent communication skills, and ability to work independently

Salary Information:

The salary for this position ranges from $225,000 to $370,000, depending on experience and qualifications.

Job Requirements:

- 2-6 years of large law firm experience representing private fund sponsors and institutional investors
- Experience with fund formation matters, including drafting and negotiating fund documents
- Familiarity with market fund terms and issues commonly negotiated in the fund offering process
- Solid understanding of securities laws and regulations governing private placements
- Strong interpersonal skills and ability to work with legal and business professionals
- Excellent writing and oral communication skills
