## Corporate & Securities Associate - Public Company Advisors Team

Womble Bond Dickinson (US) LLP is currently seeking a mid to senior level transactional associate to join its Corporate and Securities Practice Group. This position is part of the firm-wide Public Company Advisors Team and the associate will work in a collaborative environment as part of a dynamic multi-office team representing the firm's public company and other clients.

### Qualifications and Experience

The qualified candidate should have outstanding academic credentials and at least three years of corporate and securities experience in a large regional or national law firm. Candidates should have experience with 1933 Act equity and debt securities offerings and 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K and 10-Q, and Section 16 reporting. Candidates should also have experience advising issuers on public company corporate governance matters, and those candidates with a strong understanding of national securities exchange regulations, as well as key principles of executive and director compensation, are preferred. Candidates must be licensed to practice law in the jurisdiction in which they are located or have the ability to become licensed as soon as possible.

### Responsibilities

The Corporate & Securities Associate will be responsible for providing legal advice and services to the firm's public company and other clients. This includes advising on transactional matters, such as 1933 Act equity and debt securities offerings and 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K and 10-Q, and Section 16 reporting. The Corporate & Securities Associate will also be responsible for providing general corporate counseling, ranging from ordinary course public company activities to significant transactions.

### Salary and Benefits

The national average salary range for this Associate role is $205,000-$305,000. Starting salary will be determined based on location, qualifications and experience. We will review applications on a rolling basis and contact you if there is interest in moving forward with your candidacy.
