A law firm in Palo Alto is seeking a Mid to Senior-Level Corporate (Capital Markets) Associate Attorney with 4-8 years of experience. The ideal candidate will have expertise in capital markets and securities transactions, including IPOs, debt offerings, equity offerings, and corporate governance matters. Duties:Handle a variety of capital markets and securities transactions, including IPOs, debt offerings, and equity offerings.Provide legal advice on public disclosure requirements and corporate governance matters.Draft and review offering documents, prospectuses, and other transactional documents.Conduct due diligence and manage transactional closings.Advise clients on compliance with securities laws and regulations.Assist with drafting and negotiating contracts and agreements related to corporate transactions.Collaborate with clients and colleagues to achieve strategic business objectives.Stay updated on relevant legal developments and industry trends. Requirements:4-8 years of experience in capital markets and securities transactions.Strong understanding of IPOs, debt offerings, and equity offerings.Experience advising on public disclosure and corporate governance matters.Demonstrated ability to manage complex transactions from start to finish. Education and Certifications:Juris Doctor (.) degree from an accredited law school.Admission to the California State Bar or eligibility for admission via reciprocity. Skills:Excellent drafting and negotiation skills.Strong understanding of securities laws and regulations.Ability to analyze complex legal issues and provide practical advice.Effective communication skills, both written and verbal.Detail-oriented with strong organizational skills.Ability to work independently and collaboratively within a team environment.
