Corporate Associate - Tax: Opportunity at Top-Ranked Law Firm in St. Louis

UB Greensfelder, a leading Am Law 200 law firm, is seeking a highly qualified and experienced associate attorney to join our Business Services Practice Group in St. Louis. This is a fantastic opportunity to work on a variety of corporate transactions, with a focus on tax matters.

Job Responsibilities:

- Negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities, and other corporate transactions
- Conducting due diligence for both targets and acquirers
- Transaction and entity structuring, including tax considerations
- Securities offerings and compliance
- Representing borrowers in credit facility procurement

Requirements:

- Missouri law license
- CPA, accounting, or finance background preferred
- 3+ years of experience with corporate transactions and tax matters
- Strong knowledge of general corporate law, tax principles, and accounting
- Excellent written and verbal communication skills
- Detail-oriented and able to meet deadlines in a fast-paced environment
