The Corporate Counsel will join the Legal team at Symbotic and provide legal advice and strategies on various issues. The position requires a JD from an accredited law school and a minimum of 5 years of experience practicing corporate law. The ideal candidate will have experience with corporate transactions, securities compliance, and contract drafting and negotiation. They will also have knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934, as well as experience with corporate governance and intellectual property management. This is a full-time position at the company's headquarters in Wilmington, MA. Responsibilities: - Draft, review and negotiate a variety of contracts, including master services agreements, statements of work, commercial agreements, and more. - Provide support for corporate transactions, including securities offerings, financings, investments, and more. - Ensure compliance with applicable securities laws and NASDAQ rules and regulations. - Support the General Counsel in maintaining and managing the company's corporate governance and corporate secretary matters. - Handle open window trading preclearance process and collaborate with finance on stock ownership and retention requirement compliance. - Advise and support other business areas with respect to intellectual property management, dispute resolution, and labor and employment matters. - Manage outside counsel as needed. - Educate internal clients on key commercial, legal, and corporate policy considerations. - Monitor and keep senior leadership apprised of corporate governance trends and developments. - Provide legal support for day-to-day operations of the company. - Collaborate cross-functionally with other departments on various projects and initiatives. - Up to 10% travel may be requested. Requirements: - JD from an accredited law school. - Minimum of 5 years of experience practicing corporate law. - Active member of the Massachusetts bar in good standing. - Comprehensive knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and the rules and regulations of the SEC. - Familiarity with Sarbanes Oxley. - Financial literacy and comprehension of corporate finance disclosure issues. - Understanding of the Delaware Corporation Law and proficiency in major aspects of corporate law. - Experience with corporate transactions, licensing, and collaborations. - Working knowledge of employment law, corporate governance, and intellectual property licensing. - Ability to contribute to discussions of general business issues and work well with a wide range of clients. - Ability to analyze complex legal and regulatory material and recommend appropriate courses of action. - General understanding of legal technology commonly used in corporate governance and securities law practice.
