Qualification and Experience The ideal candidate will have at least 6 years of experience with structuring, negotiating and other aspects of public and private transactions, including advising clients on legal issues related to private capital raising activities. The ideal candidate will have experience or a strong interest in working with startups, founders, and venture capital firms in company formation, corporate governance and securities law, angel investments, and venture capital financings, and will have experience drafting disclosure documents (e.g., offering memoranda, etc.), company equity documents, investment agreements, and identifying offering exemptions under Federal and state securities laws. Bar membership in New Jersey or New York is required.
