A law firm in St. Louis is seeking a Senior Corporate Attorney with substantial experience in business law, complex commercial transactions, securities law, tax, M&A, and/or corporate restructurings. The ideal candidate should have the ability to manage multiple projects independently, provide practical client counseling, and possess critical-thinking, drafting, and problem-solving skills. Strong academic credentials, a willingness to accept responsibility, and a commitment to client service and professional excellence are essential.

 

Duties:

  • Provide legal advice and support on a wide range of corporate matters
  • Draft and negotiate complex commercial agreements, including mergers and acquisitions, joint ventures, and financing transactions
  • Advise clients on securities law compliance, disclosure requirements, and corporate governance matters
  • Assist with corporate restructurings, including mergers, spin-offs, and asset sales
  • Conduct due diligence reviews and risk assessments for corporate transactions
  • Collaborate with clients and internal stakeholders to develop strategic solutions to legal issues
  • Keep abreast of developments in corporate law and regulations
  • Mentor and supervise junior attorneys and legal staff as needed

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school
  • Admission to the state Bar association in good standing
  • 8+ years of experience practicing corporate law at a law firm or in-house legal department
  • Extensive experience in business law, complex commercial transactions, securities law, tax, M&A, and/or corporate restructurings
  • Strong analytical and problem-solving skills
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage multiple projects simultaneously and work effectively under pressure
  • Commitment to professionalism, integrity, and client service

 

Education:

Juris Doctor (.) degree from an accredited law school

 

Certifications:

Admission to the state Bar association in good standing
