Seward & Kissel, a leading law firm, is seeking a Mergers and Acquisitions Senior Associate to join our Transactional practice. The successful candidate will have 5+ years of relevant transactional experience performing M&A activities for private and public companies in a law firm or corporate setting.

The Mergers and Acquisitions Senior Associate will be responsible for:

• Drafting and negotiating all relevant transaction documents;
• Overseeing junior associates and specialists;
• Coordinating with other advisors, including investment bankers, accountants and co-counsel;
• Assisting in the development of strategies to complete transactions;
• Advising clients on legal and regulatory issues;
• Assisting in the preparation of due diligence materials; and
• Assisting clients in the preparation of financial statements.

The successful Mergers and Acquisitions Senior Associate will have experience in mergers and acquisitions, private equity transactions, joint ventures and cross-border transactions. The candidate should have the ability to run transactions with limited supervision, draft and negotiate all relevant transaction documents, oversee junior associates and specialists, and coordinate with other advisors, including investment bankers, accountants and co-counsel.

The successful candidate must be a member in good standing of the New York Bar and must have excellent judgment combining business and legal acumen.
