Key Responsibilities:
- Lead and manage complex transactions related to fund formation, including private equity, venture capital, and other investment structures.

- Guide clients through the legal and regulatory frameworks governing securities transactions, ensuring compliance with federal and state laws.
- Draft, review, and negotiate agreements related to fund formation, securities offerings, and corporate governance matters.
- Advise clients on corporate structures, partnership agreements, and investor relations, ensuring effective and legally sound business practices.
- Maintain and cultivate client relationships, acting as the primary point of contact for corporate and securities law matters.
- Collaborate with internal teams, including tax, regulatory, and litigation experts, to provide holistic legal services to clients.
- Oversee junior attorneys, providing mentorship and guidance as they develop expertise in corporate and securities law.
- Engage in business development initiatives to expand the firm’s corporate practice, particularly in the areas of fund formation and securities transactions.
- Stay current with changes in securities laws, regulations, and market trends to provide clients with up-to-date advice.
Qualifications and Experience:
- At least 8 years of legal experience, with a strong focus on fund formation and public/private securities transactions.
- Proven success in managing and executing complex fund formation and securities offerings for corporate clients.
- An established book of business with significant client relationships in the fund formation and securities sector.
- Previous leadership or partnership experience within a law firm is highly desirable.
Educational Background:
- Juris Doctor (.) from a respected law school.
- Active membership in good standing with the California State Bar.
Certifications:
- Additional certifications in corporate finance, securities law, or investment fund management are advantageous but not required.
- Regular engagement in Continuing Legal Education (CLE) relevant to fund formation, securities law, and corporate transactions is preferred.
