A law firm in Indianapolis is seeking a skilled and experienced Employee Benefits and Executive Compensation Attorney with a focus on providing comprehensive counsel in various aspects of employee benefits and executive compensation. The ideal candidate will contribute to the firm's success by handling a range of responsibilities, including research, compliance advising, transactional support, and documentation drafting.

 

Job Details:

  • Research tax and ERISA issues impacting the design and operation of retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans.
  • Provide counsel on benefits and compensation issues within the context of mergers, acquisitions, and divestitures.
  • Stay updated on statutory and regulatory changes, offering client advice on effective compliance strategies.
  • Assist in due diligence, review of purchase agreements, plan terminations, and benefits integration in corporate transactions.
  • Draft employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements.
  • Complete IRS and Department of Labor correction program filings.
  • Preferred experience with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance.

 

Experience:

4-6 years of relevant experience.

 

Requirements:

Juris Doctor (JD) from an accredited law school.

 

Certifications:

Admission to the State Bar of Arizona.

 

Skills:

  • Strong research and analytical skills.
  • Excellent understanding of tax and ERISA issues.
  • Transactional experience in mergers, acquisitions, and divestitures.
  • Proficient in drafting legal documents related to employee benefits and executive compensation.
  • Familiarity with IRS and Department of Labor correction programs.

 

Preferred Qualifications:

  • Experience with ESOPs.
  • Familiarity with multiemployer plan withdrawal liability.
