Senior Securities Counsel - Legal position at Oracle, a leading global technology company in the United States.

Experience: 6 to 10+ years

Responsibilities:

- Provide legal support to Oracle's Board of Directors and its committees, including preparing agendas, minutes, and presentations
- Assist with Oracle's Annual Stockholders Meeting by drafting proxy statements and related materials
- Ensure compliance with . securities laws and NYSE requirements, including preparing periodic reports and responding to SEC inquiries
- Stay up-to-date with best practices for corporate policies, including code of conduct and insider trading policies
- Assist with corporate finance transactions and executive compensation and equity compliance matters

Qualifications:

- Law degree from a top-tier school and licensed to practice in the .
- 5+ years of experience in corporate governance and securities law compliance at a top law firm
- Familiarity with mergers and acquisitions
- Strong problem-solving skills and good judgment
- Professional demeanor and ability to interact with senior executives and Board members
