The Assistant General Counsel - Capital Markets and Securities will be a key member of Wells Fargo's Legal Department, advising senior management on the company's corporate treasury activities. This includes providing legal advice on capital markets transactions and ensuring compliance with securities law requirements. The role will also involve handling various corporate governance activities related to funding transactions and providing legal expertise on implementing and completing significant capital markets transactions. The position is based in one of several locations, including New York, Boston, San Francisco, Charlotte, Des Moines, Irving, Washington DC, Los Angeles, Saint Louis, and Minneapolis. This is a full-time position and the job posting will remain open until May 6, 2024.

Key Responsibilities:

Serve as the primary attorney advising the corporate treasury team on capital markets and securities transactions.
Provide legal advice on the company's capital markets activities, including debt and equity issuances, repurchases, and redemptions.
Ensure compliance with securities law requirements and best practices for significant capital markets transactions.
Review and update relevant capital markets disclosures.
Handle various corporate governance activities related to funding transactions.
Provide legal expertise on implementing and completing significant capital markets transactions.

Qualifications:

5+ years of experience in law, or equivalent through work experience, training, military experience, or education.
Active State Bar membership or equivalent in a country outside the United States.
Strong knowledge and experience advising companies on capital markets transactions and securities law compliance matters.
Strong background in securities and corporate law.
Significant experience providing legal advice on capital markets transactions.
Experience reviewing and updating capital markets disclosures.
Attention to detail and accuracy.
Excellent communication skills.
Ability to work effectively in a complex and collaborative environment.
Experience in the financial services industry.
Ability to analyze and develop solutions to complex legal issues.

Salary Information:

Pay range of $144, - $300,.
Eligible for comprehensive benefits package, including 401(k) plan, paid time off, parental leave, critical caregiving leave, discounts and savings, health benefits, commuter benefits, tuition reimbursement, scholarships for dependent children, and adoption reimbursement.
