This full-time position will involve advising senior management on corporate disclosures, corporate treasury activities, and corporate governance. The ideal candidate will have at least 5 years of law experience and an active State Bar membership. They should also have a strong background in securities and corporate law, as well as experience advising publicly traded companies on SEC filings and other public disclosures. This position offers a competitive salary range of $144,400 - $300,000 and a comprehensive benefits package. Job Title: Assistant General Counsel - Corporate and Securities Company: Wells Fargo Job Requisition ID: R-357722 Job Type: Full-time Job Responsibilities: - Advise on public company matters, including SEC filings, corporate treasury activities, and securities law compliance. - Review and provide comments on compliance with securities law requirements and best practices for environmental, social, and governance disclosures. - Advise on capital markets, securities, and funding transactions for the corporate treasury team. - Participate in corporate governance activities, including insider trading policy and procedures. - Provide legal advice on securities law compliance, capital markets, disclosure controls and procedures, and corporate governance. - Influence objectives, plans, and resources for disclosures, treasury, and governance related activities. - Handle matters with significant impact on the company's operations, communications, funding, and reputation. - Provide legal expertise on corporate disclosures, treasury transactions, and public company governance activities. Required Qualifications: - 5+ years of law experience or equivalent demonstrated through work experience, training, military experience, or education. - Active State Bar membership or equivalent in a country outside the United States. Desired Qualifications: - 5+ years of knowledge and experience advising publicly traded companies on SEC filings, corporate treasury, corporate governance, and securities law compliance. - Strong background in securities and corporate law, including knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and corporate governance principles. - Significant experience providing legal advice on corporate disclosures, treasury, and governance related activities. - Familiarity with disclosure controls and procedures for publicly traded companies. - Experience in the financial services industry. - Strong attention to detail and accuracy. - Excellent communication skills. - Ability to work collaboratively in a complex environment. - Ability to analyze and solve complex legal issues.
