Law Firm is looking to hire a Corporate Attorney to join its Ocean, New Jersey office. The ideal candidate should have at least 5-7 years of experience as a corporate attorney, with a strong understanding of corporate governance, venture capital and bank financing, executive compensation, stock or cash-based employee incentive plans, licensing agreements, distribution agreements, succession in closely held or family business, management and leveraged buy-outs, and compliance with disclosure obligations under the federal and state securities laws.

The Corporate Attorney will be responsible for:

• Assisting a senior member of the law firm's Corporate Department
• Providing legal advice on corporate governance matters
• Assisting in the formation of business organizations
• Analyzing venture capital and bank financing
• Drafting executive compensation and stock or cash-based employee incentive plans
• Negotiating licensing and distribution agreements
• Advising on succession in closely held or family businesses
• Supporting management and leveraged buy-outs
• Ensuring compliance with federal and state securities laws

The successful candidate must have:

• A law degree from an accredited law school
• Admission to a state Bar
• 5-7 years of experience as a corporate attorney
• Knowledge of corporate governance, venture capital and bank financing, executive compensation, stock or cash-based employee incentive plans, licensing agreements, distribution agreements, succession in closely held or family business, management and leveraged buy-outs, and compliance with disclosure obligations under the federal and state securities laws
• Excellent written and verbal communication skills
• The ability to work independently and in a team-oriented environment
