Orinda office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate attorney with 5+ of legal experience. The candidate will help entrepreneurs through the early stages of forming a company or restructuring existing companies to fit their strategic goals appropriately. Conduct legal research upon and analysis of financial regulatory matters, and guide clients through funding rounds, Angel, Series Seed and Series A, B & C rounds. Assist with reviewing, drafting, and negotiating various commercial, intellectual property and sales agreements. Take a leading role in structuring and closing assigned Mergers and Acquisitions. Counsel and assist clients who are facing corporate disputes, such as founder disagreements and vendor disagreements, including drafting documents for arbitration, mediation and settlement offer. California Bar License is required. Litigation (including trial) experience is a plus.
