Job Overview: A law firm seeks an experienced and dynamic Partner-Level Venture Capital/Start-Up Attorney to lead and manage corporate transactions, including venture and seed financings, corporate formations, and daily "outside GC" duties for startup clients. The ideal candidate will possess a Juris Doctor degree and be licensed to practice law in Maryland.

Job Details:

• Managed and led all aspects of corporate transactions, including venture and seed financings, corporate formations, corporate governance, and venture debt facilities.
• Draft and manage transactional matters, including venture and seed financing documents, corporate governance documents (charters, bylaws, shareholder agreements, and operating agreements), commercial contracts, board resolutions, and consents.
• Organize and maintain online platforms, including cap table management platforms (., Carta), with proficiency in software applications such as Word, Excel, document management systems, and search engines.
• Possess a Juris Doctor degree and be licensed to the state bar in Maryland.
• Have 7+ years of corporate or transactional experience at a law firm or in-house.
• Prior Startup-VC or Big Law mergers and acquisitions experience is a plus.
• The ideal candidate will have experience representing institutional investors and venture capital financing issuers, including familiarity with NVCA documents. Additionally, experience with M&A transactions and advising emerging growth companies on corporate matters is preferred.

Requirements:

• Juris Doctor degree and active membership in the Maryland State Bar.
• 7+ years of relevant corporate or transactional experience.
• Prior experience in Startup-VC or Big Law mergers and acquisitions is advantageous.
• Proficiency in drafting and managing transactional documents.
• Strong organizational skills with the ability to maintain online platforms effectively.
• Excellent communication and negotiation skills.
• Ability to work effectively both independently and within a team.
• Detail-oriented approach with a commitment to excellence.
