A law firm in San Francisco, CA, is seeking a Mid-/Senior-level ERISA Associate Attorney with 4+ years of experience. The ideal candidate should have a strong background in working collaboratively within teams and managing some components of transactions independently. The role requires specific experience in representing public and private companies concerning tax and securities law issues related to equity-based arrangements and other incentive compensation plans. Additional experience with ERISA, employee benefits, or general employment law matters is a plus. Exceptional academic credentials, comparable law firm experience, and excellent written and verbal communication skills are essential for this position. Relevant admission is preferred.

Duties:

• Collaborate with legal teams and independently manage components of transactions related to tax and securities law issues in connection with equity-based arrangements and incentive compensation plans.
• Provide legal counsel and representation to public and private companies on matters pertaining to tax and securities law compliance.
• Offer expertise on ERISA, employee benefits, and general employment law matters.
• Conduct legal research, analysis, and due diligence to support client transactions and provide proactive advice.
• Draft and review legal documents related to equity-based compensation plans and incentive arrangements.

Requirements:

• 4+ years of experience as an attorney.
• Strong experience working collaboratively within teams and managing components of transactions independently.
• Specific experience representing public and private companies on tax and securities law issues related to equity-based arrangements and incentive compensation plans.
• Additional experience with ERISA, employee benefits, or general employment law matters is a plus.
• Exceptional academic credentials.
