Duties

  • Advise startup and growth-stage businesses on general corporate governance, financing strategies, and legal compliance.
  • Represent venture capital funds and corporate investors in financing transactions across the . and globally.
  • Structure and negotiate venture capital financings, including seed, early-stage, and later-stage investment deals.
  • Collaborate with clients to draft and review key documents such as term sheets, investment agreements, and operating agreements.
  • Handle fund formation and assist clients in forming and managing venture capital funds.
  • Work closely with founders, executives, and investors to develop long-term legal strategies aligned with business objectives.
  • Analyze financial data, capitalization tables, and deal terms to advise clients on valuation and financing scenarios.
  • Conduct legal research and advise clients on emerging regulatory considerations affecting their businesses.
  • Mentor and support junior attorneys and paralegals, fostering a collaborative and educational team environment.

Requirements

  • Minimum of 5 years of relevant law firm experience in corporate transactions, with an emphasis on emerging companies, venture capital financings, and fund formation.
  • Demonstrated ability to manage multiple complex transactions simultaneously with strong attention to detail.
  • Experience working directly with founders, investors, and company leadership.
  • Ability to work effectively both independently and as part of a collaborative legal team.
  • Strong business acumen and comfort working with financial models, capitalization tables, and investment structures.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the North Carolina Bar preferred, or willingness to seek admission promptly if not currently licensed.
