Job Summary:

The Corporate Attorney is responsible for providing legal and strategic advice to senior business leaders across the enterprise to mitigate legal risks and advance corporate goals and objectives. This position reports to the Chief Legal Officer and Corporate Secretary and is a key member of the Office of General Counsel.

Key Responsibilities:

- Collaborate and communicate directly with business leaders to effectively manage legal risks and advance corporate goals and objectives.
- Deliver proactive, timely, and accurate legal, contractual, governance, and other advice and guidance.
- Conduct legal research and analysis and advise on solutions to mitigate legal risk and comply with regulatory and contractual requirements.
- Negotiate, prepare, interpret, and advise on contractual matters.
- Provide advice and counsel on corporate, labor and employment, and governance matters.
- Support planning and preparation for Annual Shareholder Meetings and public disclosures.
- Prepare customer and employee agreements and regulatory disclosures.
- Manage litigation, including legal holds, insurance claims, and associated contingent liability disclosures for a public company.
- Prepare legal and governance documents, including policies, procedures, bylaws, meeting materials, and corporate certifications.
- Identify and implement process improvement recommendations to improve the effectiveness and efficiency of business units in mitigating legal risk.
- Demonstrate the standards and principles of the Five Star Bank experience in every interaction with internal and external customers, associates, and stakeholders.

Job Qualifications:

- Juris Doctor Degree
- 5+ years of Legal, and General Corporate experience
- License to Practice Law in New York State
- Strong negotiation and advocacy skills
- Ability to handle complex matters with moderate oversight
- Sound judgment and analytical ability
- Strong organizational skills
- Highest degree of ethical standards, integrity, and professionalism
- Strong verbal and written communication skills
- Experience with Microsoft Office applications
- Management experience

Physical Requirements:

- Ability to sit for prolonged periods of time
- Occasional travel
- Extensive computer usage

Salary Information:

Salary Range: $95, To 125, Annually

The expected rate of pay for this position is shown above and is based on a wide range of factors including relevant skills, training, experience, education, and market and organizational factors. In addition to a competitive salary, successful candidates may be eligible for cash or equity-based incentives based on their role and performance.
