Law Firm is seeking a Complex Credit and Insurance Solutions Associate with 3-5 years of experience in private credit fund formation and insurance solutions for private fund sponsors. Responsibilities and Qualifications:

- Prior work with private credit or CLOs is a plus
- Private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
- Experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics
- Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act is helpful
- Large Law Firm experience required

As a Complex Credit and Insurance Solutions Associate, you will have the chance to work on a variety of projects, including:

- Drafting and negotiating fund documentation such as private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings
- Managing the entire project from fund raise launch to close, including interfacing with clients, negotiating with investors (including side letters and subscription documentation), and overseeing the subscription process and closing mechanics
- Applying your understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act to assist our clients

Our ideal candidate will have prior experience working with private credit or CLOs, as well as private fund formation experience. Large Law Firm experience is also required.
