The Houston First Corporation is currently seeking a General Counsel to join their team in Houston, TX. As the General Counsel, you will provide skilled and proactive legal advice to the corporation and serve as the legal representative to senior leadership. You will also provide counsel to various Boards of Directors and corporate Committees and assist with corporate secretarial functions. The ideal candidate will have a Juris Doctorate from an accredited law school and be a member in good standing with the Texas State Bar. They should also have at least 20 years of experience as a corporate attorney and 15 years of experience in an organizational leadership role. This is a full-time position based in Houston, TX.

Responsibilities:

- Provide legal counsel to Houston First Corporation, including preparing necessary documents and monitoring compliance with governance structures and state law.
- Assist in revising and implementing organizational structures and developing key policies and procedures.
- Act as the custodian of record for the Texas Public Information Act.
- Contract for outside legal advice and supervise outside counsel in discovery and litigation.
- Administer the Interlocal Agreement and Lease Agreement with the City of Houston.
- Provide legal advice to senior management of the Hilton Americas-Houston Hotel.
- Draft and negotiate complex construction-related agreements and provide legal counsel throughout the construction process.
- Draft and negotiate agreements for new hotel developments, mortgage loan agreements, office and retail leases, and engage with developers, architects, and engineers.
- Lead efforts to acquire land for future expansion and development.
- Draft and negotiate agreements for sponsorships, marketing, and social media.
- Manage and negotiate license agreements for events at various Houston First venues.
- Draft and negotiate Request for Proposals, bids, and agreements for various services and projects.
- Provide litigation and claims management and participate in insurance procurement and risk assessment.
- Address Human Resources issues and provide legal guidance on employment law, discrimination, diversity, and equal employment opportunity.
- Prepare annual budget for the General Counsel Department and manage trademarks and intellectual property.
- Other duties and projects as assigned.

Requirements:

- Juris Doctorate from an accredited law school.
- Member in good standing with the Texas State Bar.
- At least 20 years of experience as a corporate attorney with knowledge of business organizations, municipal government law, transactional law, real estate, and employment liability.
- At least 15 years of experience in an organizational leadership role.
- Ability to develop legal strategy and objectives.
- Strong communication skills, both written and verbal.
- Computer literacy, including proficiency in Word and Excel.
- Ability to lead and motivate a team, as well as work collaboratively with others.
- Strong counseling skills and ability to develop team members.
- High level of energy and self-motivation.
- Understanding of occupational hazards and safety precautions.

Salary Information:

- The salary range for this position is $180,000 - $250,000.
- Salary is commensurate with experience.

- This is a full-time, in-person position based in Houston, TX.
