CleanChoice Energy is seeking a Paralegal to join the Solar Development team and provide paralegal support in developing utility-scale solar power plants. This position offers an exciting opportunity to support the solar project development, project finance, construction, asset management, and compliance functions within the company. Job Title: Paralegal Full-Time, 40 hrs/week Classification: exempt under FLSA Location: 100% Remote Responsibilities Solar Project Development Support: • Assist in conducting real estate diligence, including reviewing title searches, zoning analysis, and environmental assessments. • Prepare and review contracts, agreements, and other legal documents related to project development, such as leases, easements, and other project agreements. • Collaborate with internal teams and external stakeholders to facilitate the timely completion of development milestones. • Create and maintain all legal entities for the division including LLC formation, annual filings, preparation and maintenance of operating agreements, and preparation of certificates and resolutions. Project Finance, Tax Equity, and Construction Support: • Provide support in organizing and maintaining project finance documentation, including tax equity agreements and financing documents. • Assist in conducting due diligence related to project financing and tax equity investments. • Collaborate with construction teams to ensure compliance with legal and contractual obligations during the construction phase. Asset Management and Compliance: • Assist in maintaining and managing project-related entities, such as limited liability companies (LLCs). • Support compliance efforts by monitoring and maintaining legal and regulatory records and filings. • Conduct legal research and stay updated on relevant laws, regulations, and industry trends related to solar project development and asset management. • Collaborate with internal stakeholders to implement compliance policies and procedures. Contract Management: • Manage contracts throughout their lifecycle, including drafting, reviewing, and negotiating terms and conditions. • Ensure contracts comply with legal and regulatory requirements and company policies. • Coordinate with internal teams and external parties to resolve contract-related issues or disputes. Qualifications and Skills • . • Previous experience as a paralegal or legal assistant, preferably in renewable energy project development or related areas. • Strong understanding of real estate transactions, contract management, and legal compliance. • Knowledge of project finance, tax equity, and construction concepts is highly desirable. • Familiarity with LLC management and compliance is a plus. • Excellent organizational and time management skills, with the ability to prioritize and meet deadlines. • Detail-oriented approach, with a focus on accuracy and thoroughness. • Strong research and analytical skills, with the ability to effectively summarize and communicate complex legal concepts. • Proficiency in legal research tools, document management systems, and MS Office Suite. • Ability to work independently as well as collaboratively within a team environment. • Excellent written and verbal communication skills.
