Title: Sr Legal Specialist - Legal Entity Management Location: Washington, DC Salary Range: $86,300 - $143,800 per year Job Type: Full-time Experience: 7+ years of corporate paralegal experience; 3+ years in entity management and/or intercompany transactions at a law firm or a . publicly-traded company. Education: Bachelor's degree from an accredited university and a paralegal certificate from an ABA-approved paralegal program. McKesson, a Fortune 10 company, is seeking a Senior Legal Specialist to join their team in Washington, DC. This position will play a critical role in maintaining and managing McKesson's legal subsidiary entities, including international subsidiaries. The Senior Legal Specialist will report to the Managing Chief Counsel, Governance & Shareholder Engagement and work closely with other members of the Corporate, Governance and Transactions team. Key Responsibilities: - Manage McKesson's corporate entity structure for international subsidiaries, including legal entity formation, merger and dissolution processes, and ongoing compliance with state and other local legal requirements. - Draft and review documents related to subsidiary entities, including formation documents, board and shareholder meeting minutes, annual report filings, and other compliance documentation. - Maintain legal entity records, including minute books, for subsidiary entities, and utilize McKesson's global entity management system. - Document intercompany transactions, such as capital contributions, distributions, liquidations, reorganizations, and dividends. - Develop templates and other entity management resources to assist internal clients with routine entity management processes. - Administration of third-party electronic portal (Boardvantage) to distribute meeting and other information in a manner that ensures meeting content is delivered error-free and on time. - Pro-active planning and coordination with cross-functional teams to effectively support the corporate structure. - Coordinate and project manage stakeholders to effectively collaborate on key projects, including entity integration and rationalization, and support of M&A transactions. - Manage outside local counsel on legal entity matters. - Act as a resource to guide and train colleagues with less experience. Minimum Requirements: - 7+ years of corporate paralegal experience; 3+ years in entity management and/or intercompany transactions at a law firm or a . publicly-traded company. - Bachelor's degree from an accredited university and a paralegal certificate from an ABA-approved paralegal program. Critical Skills: - Strong analytical, organization and problem-solving skills, and meticulous attention to detail. - Efficiency in working both independently with minimal oversight and collaboratively as part of a team, with a record of developing strong working relationships in a matrixed enterprise environment. - Meticulous attention to detail and excellent proof-reading skills. - Efficiency in working both independently with minimal oversight and collaboratively as part of a team, with a record of developing strong working relationships in a matrixed enterprise environment. - Proficiency in communicating in clear, practical terms. - Experience with entity management databases such as GEMS, hCue or Diligent.
