Job Summary:

Raymond James is seeking an experienced Assistant General Counsel to provide comprehensive legal support for the Fixed Income Capital Markets division (FICM). This role will primarily handle transactional matters for the institutional FICM sales and trading desks, underwriting and investment banking, as well as provide support on litigation or regulatory matters. The ideal candidate will have a minimum of 8 years experience in a relevant practice area and be a member in good standing in at least one state bar.

Essential Duties and Responsibilities:

• Provide legal advice, counsel, and recommendations regarding FICM matters.
• Partner with business and control functions including legal, compliance, supervision, risk, and audit to manage legal matters and enhance policies, procedures, and controls.
• Draft, review, and advise on a variety of agreements ranging from NDAs to complex securities transaction-related documents.
• Oversee and manage outside counsel for FICM matters.
• Coach and mentor others, including providing guidance to paralegal staff.
• Interpret and apply organizational policies and procedures.
• Prepare and deliver presentations to management and senior management on legal issues.
• Stay current on laws and regulations related to FICM and advise on current or proposed rules and regulations.
• Lead projects to find solutions and comply with regulatory requirements.
• Perform other duties as assigned.

Qualifications:

• Juris Doctorate with excellent academic credentials and a minimum of 8 years experience in a relevant practice area (law firm, regulator or self-regulatory organization, and/or in-house in a related area involving financial services industry preferred).
• Member in good standing in at least one state bar.
• Ability to obtain Florida Authorized House Counsel, if not a member of the Florida bar.

Knowledge, Skills, and Abilities:

• Advanced knowledge of corporate, securities, and regulatory law affecting financial institutions, including regulations affecting broker-dealers.
• Familiarity with investment concepts, practices, and procedures used in the securities industry.
• Understanding of financial markets and products.
• Ability to draft, review, and negotiate agreements and transaction-related documents.
• Strong organizational and time-management skills to manage a high volume of work in a rapidly evolving environment.
• Excellent communication skills, both written and verbal.
• Ability to work independently and collaboratively within a team environment.
• Strong problem-solving skills and ability to prioritize and manage multiple tasks.
• Proficiency with standard office equipment and software applications.
