Position Summary:

The Legal Counsel will serve as the responsible attorney for, and provide legal advice and guidance on, a wide variety of commercial and contractual matters for Wolters Kluwer's Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit, specifically focusing on the TeamMate products and related services. This is a hybrid role, requiring the ability to attend meetings and/or conferences onsite as needed, with a preferred office location of Tampa, FL. However, candidates who reside near other Wolters Kluwer . offices will also be considered.

Key Responsibilities:

- Provide comprehensive legal counsel on a broad spectrum of corporate, commercial, privacy, and regulatory matters impacting CP & ESG, with a focus on the TeamMate product.
- Structure, draft, negotiate, interpret, manage, and enforce all types of agreements, including customer agreements, vendor agreements, and partner, joint venture, and strategic alliance arrangements.
- Keep CP & ESG's business representatives and Managing Legal Counsel informed of significant legal developments.
- Collaborate with the Global Law and Compliance Department (GCLD) team as needed.
- Effectively manage outside counsel in a cost-effective manner, when appropriate.
- Drive consistency and standardization of processes, foster knowledge sharing, and support technology to automate tasks.
- Develop an in-depth understanding of the CP & ESG businesses, people, organization, markets, products, customers, competitors, and regulatory environment.
- Educate business teams on contract forms, recent best practices, common clause objections, commercial and legal risks, and internal contract review and approval procedures.
- Support the GLCD's M&A, regulatory, employment, and litigation teams with respect to matters affecting CP & ESG TeamMate.
- Perform other assignments as designated by leadership.

Required Qualifications:

- Bachelor's degree and law degree (.), and admitted to practice law in the state where the assigned office is located.
- 2-5 years of progressively responsible corporate/commercial legal experience.
- Strong legal acumen and analytical skills.
- General understanding of privacy laws and regulations or a willingness to learn.
- Excellent legal drafting and negotiating skills.
- Outstanding communication and change management skills.
- Unquestioned integrity and business ethics.
- Proactive, energetic, and enthusiastic approach to tasks.
- Ability to handle a substantial workload and multiple, concurrent projects, some with time pressure.
- Experience and confidence to push for change and challenge the status quo.
- Willingness to travel when necessary.

Salary Information:

Salary ranges vary based on location and are as follows:

- CA, CT, CO, HI, NY, WA: $112,000-$156,650
- AL, AZ, GA, IA, IL, IN, KY, LA, MI, MO, MN, NC, NJ, OH, OK, PA, SC, TN, TX, WI: $96,800-$135,750
- FL: $105,000-$147,000
- MA, MD, ME, NH, RI, VA: $120,000-$168,000
- Canada: $112,000-$156,650

All salary ranges are eligible for a sales incentive plan.
