The ideal candidate will have a strong background in private equity-sponsored leveraged acquisition finance transactions, with a focus on credit facilities. The role involves working on a diverse range of matters for various clients, with an emphasis on lender-side representation.

Duties:

  • Work on private equity-sponsored leveraged acquisition finance transactions, encompassing senior secured term loans, cash flow, and ABL revolving credit facilities.
  • Draft and review legal documents, including commitment letters, engagement letters, term sheets, fee letters, and collateral documentation related to credit facilities.
  • Provide borrower-side representation in private equity transactions (a plus).
  • Demonstrate primary experience in lender-side representation in private equity-sponsored leveraged acquisition finance matters.
  • Collaborate with internal teams to ensure seamless execution of transactions.
  • Stay abreast of legal developments and industry trends related to private equity and finance.

Requirements:

  • . degree from an accredited law school.
  • Minimum of 3 years of experience in private equity-sponsored leveraged acquisition finance transactions.
  • Admission to practice law in New York.
  • Direct and applicable experience in an AmLaw 100 law firm or SEC setting.
  • Ability to travel as required.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to practice law in the state of New York.

Skills:
