A law firm is currently seeking a Mid-Level M&A Associate Attorney for its Minneapolis location. The ideal candidate should have 3+ years of experience with substantial major law firm experience in handling sophisticated M&A transactions, both private and public. Experience with capital markets transactions, corporate governance/fiduciary duty counseling, and/or disclosure and other securities law compliance matters will be considered a plus. The Mid-Level M&A Associate Attorney will be a key contributor to the firm's M&A practice, leveraging substantial major law firm experience to handle sophisticated M&A transactions. The role requires 3+ years of experience, with additional consideration for expertise in capital markets transactions, corporate governance, and securities law compliance matters.

 

Duties:

  • Work on sophisticated M&A transactions, both private and public.
  • Provide legal counsel on capital markets transactions.
  • Offer expertise in corporate governance and fiduciary duty counseling.
  • Assist in disclosure and other securities law compliance matters.
  • Collaborate with clients to understand their M&A goals and strategies.
  • Draft and negotiate transactional documents with precision.
  • Ensure compliance with relevant laws and regulations.

 

Requirements:

  • Juris Doctor degree from a reputable law school.
  • Active Bar membership in the state of Minnesota.
  • 3+ years of experience in M&A law.
  • Substantial major law firm experience.
  • Experience in capital markets transactions (a plus).
  • Expertise in corporate governance/fiduciary duty counseling (a plus).
  • Familiarity with disclosure and securities law compliance matters (a plus).

 

Skills:

  • 3+ years of experience in M&A law.
