Duties:

  • Provide legal counsel and strategic advice on executive compensation and employee benefits.
  • Conduct legal research and analysis related to tax implications, securities laws, and other relevant compensation and benefits regulations.
  • Draft and review agreements, plans, and policies about executive compensation, employment, and benefits.
  • Advise clients on compliance with applicable laws and regulations, including ERISA, IRC, and SEC rules.
  • Assist in negotiating and structuring compensation arrangements in corporate transactions and mergers/acquisitions.
  • Represent clients in negotiations, mediation, and other dispute resolution proceedings related to executive compensation and benefits.

Requirements:

  • Minimum of 5 years of experience practicing law, focusing on executive compensation and employee benefits.
  • Strong understanding of tax laws, securities regulations, and other relevant legal frameworks.
  • Experience advising corporate clients on compensation disclosure issues.
  • Proven track record of handling transactional matters related to executive compensation and benefits.
  • Excellent communication and negotiation skills.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar or eligibility for admission via waiver.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
