Commercial Attorney Job Description

Law Firm is seeking an attorney with a minimum of two years of experience with commercial contracts at a top national or international firm, or sophisticated in-house department. This position can be based out of our Denver or Boulder offices.

Duties:

Review, edit and draft operational, commercial, and technology contracts for technology and other companies, including agreements for software licensing, SaaS, consulting and professional services, manufacturing and supply, research and development, intellectual property licensing, sales and distribution.
Participate in contract negotiations.
Collaborate with clients and subject matter experts to ensure that commercial agreements are aligned with business objectives and satisfy compliance issues.
Prepare correspondence, memorandum and contract documentation in support of contract execution.
Support corporate transactions regarding intellectual property and commercial issues.

Skills Required:

Licensed (or willingness to become licensed) to practice law in Colorado
2 – 7 years work experience in a top national or international firm, or sophisticated in-house department.
Excellent written and verbal skills; adept at communicating complex issues concisely and effectively with attorneys and clients.
Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure.
Strong interpersonal skills; can interact professionally with staff, attorneys, and clients.
Ability to identify legal issues and exercise sound judgment.
Has strong sense of ownership over projects and proactively looks for ways to improve processes.
Comfortable with taking direction from others on the legal team.
Fluency with Microsoft Office applications (Word, Excel, PowerPoint, Outlook, etc.)
Ability to handle a fast-paced, constantly changing environment with flexibility and sense of humor

Attributes Desired:

Experience with commercial contracts for technology transactions, including SaaS agreements, software licenses and other commercial agreements. Experience in the field of life sciences is a plus.
Conduct contract negotiations with minimal supervision.
Possess excellent conflict resolution skills.

Pay Range and Benefits:

Law Firm is offering a competitive salary range of $145,000 – $190,000 annually, based on experience. Quality performance and hour bonus eligibility begin at 1,300 billable hours with significant business development bonus opportunities for client generation. Other KO benefits include:

Opportunity to participate in 401K plan with firm match up to 4%
Annual profit-sharing plan
Transportation or parking stipend and a monthly technology stipend
