Duties:

  • Represent banks, commercial finance companies, private debt funds, and other lenders in structuring, documenting, and closing asset-based, real estate, healthcare, and general middle market financing transactions.
  • Provide legal counsel and support throughout the financing process, including due diligence, negotiation, and agreement drafting.
  • Conduct legal research and analysis on complex finance matters.
  • Collaborate with senior attorneys and partners to develop strategies and solutions for clients.
  • Assist in preparing legal documents, including loan agreements, security, and closing documents.
  • Handle client communications and maintain strong client relationships.

Requirements:

  • 4-6 years of experience practicing law, focusing on finance transactions.
  • Admitted to practice as an attorney in Washington, DC.
  • Strong understanding of UCC Article 9 perfection provisions and mortgage/title insurance issues.
  • Experience with loan workouts and restructurings is a plus.
  • Excellent communication and negotiation skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Attention to detail and strong analytical skills.

Education:

  • Juris Doctor (.) degree from an accredited law school.
