Summary:

Newpark Resources is seeking an experienced and motivated Manager of Contracts to join their team. This role is responsible for executing complex local, regional, national, and global service agreements, contract amendments, renewals, and extensions as well as managing their effective administration. The successful candidate will have a Bachelors Degree or educational equivalent and 4 years contracts experience.

Responsibilities:

• Serves as the company's point of contact for contracts for the particularly assigned business teams and may help with other business lines from time-to-time on an as-needed basis.
• Reviews and modifies Master Service Agreements, Prime Contract Agreements, Subcontract Agreements, Non-Disclosure Agreements, and a wide variety of other related agreements, ensuring compliance with Company’s contracting standards.
• Provides contract & management expertise, enabling the company to engage at all times in best commercial practice, manage and mitigate risk, and to contribute to its strategic development.
• Review and negotiate contractual terms to ensure minimized risk exposure and maximum profitability.
• Review and manage client draft contractual terms and contract requirements (including preparation of red line/track change and qualification matrices).
• Conduct direct negotiation of terms with clients, managing and mitigating Company risk and ensuring commercial and technical completeness.
• Responsible for assisting negotiation with suppliers for NDA/procurement contracts based on Newpark standard terms or contract templates and liaison with business unit management to address/resolve any legal exceptions raised by suppliers.
• Ensure that service agreements contain standard approved language and terms and conditions to minimize risk to the company, and that deviations from the standard language are negotiated have appropriate legal and executive management approvals.

Travel: 0-20%

Qualifications:

• Bachelors Degree or educational equivalent.
• 4 years contracts experience.
• Excellent knowledge of business and contractual issues in commercial transactions.
• Communicates effectively at all levels of the organization to ensure clarity in expectations requirements, and deliverables.
• Excellent analytical skills.
• Ability to work independently.
• Certifications from the NCMA and law degree preferred.
