We are currently seeking a Junior Level Corporate Associate with one to three years of experience to join our team. In this position, you will have the opportunity to work with industry-leading clients and be involved in impactful technologies.

Key Responsibilities:

- Drafting, negotiating, and communicating with clients on a daily basis
- Working with startups on entity formation matters
- Handling fundraising and financing transactions, including venture financings and convertible note and SAFE rounds
- Assisting with corporate transactions such as mergers and acquisitions
- Conducting transactional due diligence
- Providing day-to-day corporate counsel
- Managing capitalization tables, Carta, and waterfalls/pro formas

Qualifications:

- Stellar academic credentials from a top university
- 1-3 years of experience at a reputable firm with a similar practice area
- Familiarity with startup and corporate law
- North Carolina bar license preferred
