Job Overview:

Duties:

  • Draft and negotiate principal financing documentation for project financings, including purchase agreements, partnership agreements, credit agreements, security and pledge agreements, and depositary agreements.
  • Review and advise on key commercial project documentation, such as development agreements, Power Purchase Agreements (PPAs), Engineering, Procurement, Construction contracts (EPCs), site control, and interconnection agreements.
  • Conduct thorough due diligence related to project finance transactions.
  • Provide legal advice and support throughout the project development and finance lifecycle.

Requirements:

  • JD or LLM from an ABA-accredited law school.
  • Admitted or eligible for admission in MA, DC, NY, or CA.
  • 4+ years of project finance experience at a law firm.
  • Excellent written and verbal communication skills.
  • Professionalism in working and engaging with demanding clients.
  • Ability to balance and prioritize multiple competing priorities and responsibilities.
  • Ability to stay organized and exercise extreme attention to detail.
  • Ability to collaborate and work effectively in team settings.

Education & Certifications:

  • JD or LLM from an ABA-accredited law school.

Skills:

  • Proficiency in US project development and finance with distributed and utility-scale renewable energy projects.
  • Experience with principal financing documentation typical in project financings.
  • Familiarity with key commercial project documentation and related due diligence.
