A law firm in Washington, ., is seeking a highly experienced Mid/Senior-level Securities Associate Attorney to join its Securities Team and Financial Institutions Team. The candidate will play a key role in supporting public company clients, handling regular periodic reporting requirements and capital markets projects, and contributing to general M&A activities.

 

Duties:

  • Support public company clients in meeting periodic reporting requirements and compliance with federal and state securities laws, particularly focusing on '34 Act reporting.
  • Assist in capital markets projects, including equity and debt offerings, and provide support for securities offerings and capital markets transactions.
  • Deal directly with clients, serving as front-line support for securities law matters.
  • Prepare periodic alerts and educational materials on securities law topics and conduct periodic training sessions for clients on securities law and corporate governance matters.
  • Prepare, review, or advise on routine SEC filings such as Form 10-K, Form 10-Q, Form 8-K, Proxy Statements, and Section 16 filings.
  • Provide assistance with other SEC filings, including Form S-8 and Form SD.
  • Draft, review, and periodically update corporate governance and related policies, including Corporate Governance Guidelines, Clawback Policies, and Insider Trading Policies.
  • Assist clients with the preparation and planning of the annual stockholder meeting and shareholder engagements.
  • Advise on general securities disclosure matters, including press releases, earnings releases, investor presentations, and other external communications.
  • Ensure compliance with applicable NYSE and Nasdaq requirements, including annual and periodic updates.
  • Provide support for general M&A activity as needed.
  • Work with the firm's securities team to draft and publish blog entries and alerts on material new securities law developments.
  • Coordinate training on securities and corporate governance matters, including insider trading and Regulation FD.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in the state of DC.
  • 5+ years of direct experience in securities law, with a focus on public company reporting, capital markets, and M&A.

 

Skills:

  • Thorough understanding of federal and state securities laws, particularly the '34 Act reporting.
  • Strong experience in capital markets transactions, including equity and debt offerings.
  • Excellent drafting and reviewing skills for SEC filings and corporate governance documents.
  • Ability to provide comprehensive advice on securities disclosure matters.
  • Effective communication and client-facing skills.
  • Familiarity with NYSE and Nasdaq requirements.
  • Knowledge of general M&A processes.
  • Ability to stay updated on material securities law developments and contribute to thought leadership through blog entries and alerts.
  • Coordination skills for training on securities and corporate governance matters.
