Job Overview: A law firm seeks a Private Companies Resource Attorney to support its practice groups with legal resources, knowledge management, and practice innovation. The ideal candidate will have 3-5 years of experience in US corporate/transactional practice, strong drafting skills, and a background or interest in life sciences and digital health.

Job Duties:

  • Prepare, improve, annotate, and automate template documents.
  • Curate and organize forms, precedents, and other know-how.
  • Develop training and educational content in collaboration with the legal education team.
  • Coordinate with lawyers and other personnel across practice groups for review, updating, and contributions to practice resources and external publications.
  • Monitor legal and regulatory developments in Private Companies, Life Sciences Regulatory, and Digital Health practices; prepare summaries and alerts; ensure practice resources reflect new legal requirements.
  • Develop content for Cooley publications, teach-ins, and other external-facing resources.
  • Assist attorneys with day-to-day requests for precedents, templates, and resources.
  • Participate in resource, knowledge management, practice innovation, and technology projects.
  • Perform any other duties as assigned or required.

Requirements:

  • Must be a licensed attorney.
  • 3-5 years of experience in a US corporate/transactional practice.
  • Well-developed skill set in working with larger, later-stage private companies and their transactions.
  • A background or interest in life sciences and digital health is preferred.
  • Strong drafting skills.
  • Ability to handle multiple ongoing projects and coordinate with stakeholders.
  • Experience with running closings and coordinating diligence/disclosures on transactions preferred.
  • Detailed drafting and analysis abilities for template documents.

Education and Certifications:

  • Law degree from an accredited institution.
  • Active license to practice law in the United States.

Skills:

  • Strong drafting and analytical skills.
  • Excellent organizational and project management abilities.
  • Collaboration and communication skills to work effectively with diverse teams.
  • Proficiency in legal research and analysis.
  • Familiarity with private company transactions and legal requirements.
