Corporate Counsel, M&A & Licensing at Pfizer - New York City, USA

Pfizer, a global leader in the pharmaceutical industry, is seeking a Corporate Counsel to join their team in New York City. This role will involve structuring, negotiating, and executing complex business transactions, including mergers and acquisitions, licensing agreements, alliances, and collaborations. The ideal candidate will have a strong academic background, 7+ years of experience as a corporate or transactional attorney, and prior experience in the pharmaceutical or life sciences sector.

Key Responsibilities:

- Counsel Pfizer leaders on structuring, negotiating, and executing complex business development transactions
- Advise on issues under existing collaboration and joint venture agreements
- Structure complex transactions and develop solutions to challenging legal and business issues
- Manage risk and ensure Pfizer receives intended benefits from transactions
- Coordinate large cross-functional deal teams and manage outside counsel
- Support and contribute to Pfizer Legal Division projects and initiatives

Qualifications:

Must-Have:

- Juris Doctor degree or equivalent
- Member of State Bar
- 7+ years’ experience as a corporate or transactional attorney
- Broad experience in structuring, negotiating, and executing strategic transactions in the pharmaceutical/life sciences sector
- Excellent written and verbal communication skills
- Strong leadership, analytical, organizational, and project management skills

Nice-to-Have:

- Experience as primary or lead transactional attorney on complex pharmaceutical/life sciences transactions
- Experience with cross-border M&A transactions
- Experience with legal entity restructuring programs
- Experience with divestitures, out-licensing, or strategic investment transactions
- Experience drafting and negotiating ancillary transaction agreements

Salary and Benefits:

- Annual base salary ranging from $173, to $288,
- Eligibility for Pfizer’s Global Performance Plan with a bonus target of % of base salary
- Eligibility for share-based long-term incentive program
- Comprehensive benefits package, including 401(k) plan, paid time off, and health benefits
- Relocation assistance may be available
- Flexible work schedule with potential for 2-3 days working from assigned Pfizer office
