H2: Frantz Ward is Seeking a Corporate Associate with M&A and Transactional Law Experience

Frantz Ward, a leading law firm with a global client base, is currently seeking a Corporate Associate with a concentration in M&A and transactional law to join their corporate practice. The successful candidate will work closely with clients and other attorneys to manage transactions from beginning to end, providing counsel in all areas of corporate formation, operation, and governance.

Key Responsibilities:

- Provide counsel in all areas of corporate formation, operation, and governance, and business strategies and development
- Draft agreements for corporate governance, succession planning and business continuity
- Prepare offering and financial disclosure documents to comply with state and federal securities regulations
- Advise clients on mergers and acquisitions, joint ventures, and other corporate transactional matters
- Analyze and summarize complicated legal documents, including contracts, and suggest alterations
- Synthesize legal research and analysis into a coherent written memorandum or brief
- Perform discovery of electronically stored data and hard copies of information in preparation for litigation
- Negotiate with outside parties on contractual issues and legal disputes
- Anticipate and mitigate potential legal problems and develop strategies to avoid costly litigation
- Perform due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions

Qualifications:

- 3-5 years of corporate law experience
- Broad experience in all aspects of mergers and acquisitions
- Strong oral and written communication skills
- Superior attention to detail
- Strong organizational, time management, and project management skills
- Ability to handle sensitive matters and maintain confidentiality
- Ability to work independently and within a team
- Ability to handle multiple projects and prioritize work
- Ability to work well in a fast-paced environment
- Flexibility to adjust hours to meet firm and client needs
