Corporate Counsel - Remote/Hybrid/Office: Overview and Job Description

Department: Legal

Immediate Supervisor: SVP, General Counsel

Position Purpose: Assist with contract review and management, compliance initiatives, corporate books and records, and due diligence and integration efforts.

Principle Accountabilities:

- Serve as initial point of contact for all contract requests
- Manage contract management and document retention system
- Organize information from various sources and oversee contract workflows
- Prepare and review contracts for customers, raw materials, vendors, etc.
- Ensure processes are in place for monitoring key contract terms and customer documents
- Assist with corporate formalities and execution of documents
- Support compliance initiatives and oversee patent and trademark retention system
- Coordinate annual corporate filings for US, Canada, and India
- Assist with due diligence and integration efforts for mergers and acquisitions
- Process and code legal bills
- Work with outside counsel as needed
- Other tasks as assigned by Associate General Counsel and General Counsel

Essential Skills and Experience:

- 4+ years of experience negotiating commercial contracts at a medium to large law firm or as in-house counsel
- Knowledge of intellectual property law (preferred)
- Ability to work efficiently in a fast-paced environment
- Proficiency in Microsoft suite and standard business software
- Strong organizational skills and ability to manage priorities
- Willingness to take on a variety of tasks and initiatives
- Comfortable in a collaborative environment with high expectations
- Licensed attorney and member of a state bar (or ability to obtain Florida In-House Counsel licensure)
- Friendly and approachable demeanor
- Option for remote work
- Ability to travel up to 10% of the time
