# Senior Associate Counsel - Real Estate Development

## Salary Range: $124,375 - $163,242

The MTA is looking for a Senior Associate Counsel for Real Estate Development. The position will represent MTA in connection with real estate, contracting, transactional and commercial related legal matters so as to protect and preserve MTA’s legal interests and help monetize its real property interests. The successful candidate will have excellent negotiating and drafting skills, the ability to work independently on contract negotiations of significant size and complexity, and experience working on a multi-disciplinary team.

## Responsibilities

* Provide legal support to the MTA real estate team including MTA C&D
* Review, analyze, draft and negotiate a broad variety of complex real estate related contracts and documents, including easements, ground leases, land disposition agreements, licenses and permits
* Provide legal and business advice with regard to complex enterprise-wide contract negotiations for real estate related matters
* Advise MTA real estate team and business unit clients regarding legal and business risks
* Assist with the administration of the real estate legal group, including (i) management and control of and responsibility for drafting/updating of real estate boilerplate form documentation and a real estate form library, with a heavy emphasis on ground leases, development agreements, licenses, easements and permits and (ii) implementation of legal training program
* As time permits, provide legal support in other practice areas in support of MTA’s mission, including proposed and enacted legislation, advertising, contractor responsibility, corporate issues and state and federal rules and regulations

## Knowledge, Skills and Abilities

* Excellent negotiating, drafting, and practice-management skills and business judgment
* Demonstrated ability to work independently on contract negotiations of significant size and complexity, manage multiple projects and clients in a fast-paced environment, and work on a multi-disciplinary team
* Confidence dealing with senior management and sophisticated developers, lessees and other counterparties
* Ability to identify creative, business-oriented solutions to legal and business risks
* Demonstrated ability to implement, manage, organize, and update real estate legal documentation form files and database
* Strong interpersonal, analytical, problem solving, organizational, drafting and communication skills. Proven capability to build and maintain strong client relationships
* Ability to supervise paralegals and work collaboratively with other attorneys
* Intellectual curiosity and a desire to continue to learn and think creatively

## Education and Experience

* Law degree from an accredited law school. Excellent academic credentials. Admitted to practice law in NY
* 6+ years of relevant legal experience at a large law firm or supporting a large governmental or private sector organization
* A minimum of 3 years experience working on sophisticated real estate transactions
* Pertinent experience drafting and negotiating contracts under NY law
* Proficiency in Microsoft Word, Microsoft Excel and computer skills
