The Legal Counsel (Corporate and Commercial Transactions) will play a key role in providing legal advice and guidance for Wolters Kluwer's Corporate Performance and Environmental, Social, and Governance business unit. This is a hybrid role, meaning the individual must be able to attend meetings and conferences both onsite and remotely. The preferred location for this position is Tampa, FL, but candidates near other Wolters Kluwer . offices will also be considered.

In this role, the Legal Counsel will be responsible for providing comprehensive legal counsel on a wide range of corporate, commercial, privacy, and regulatory matters related to the CP & ESG business unit, specifically focusing on the TeamMate products and services. This includes drafting, negotiating, interpreting, managing, and enforcing all types of agreements, as well as staying up-to-date on relevant legal developments and working closely with other members of the Global Law and Compliance Department (GCLD) team.

The ideal candidate for this position will have a bachelor's degree and a law degree (.), as well as 2-5 years of corporate/commercial legal experience. Experience at a law firm and in-house is preferred, but not required. Strong legal acumen, analytical skills, and understanding of privacy laws and regulations are essential for this role, as well as excellent communication and change management abilities. The individual must also possess a strong work ethic, integrity, and the ability to handle a heavy workload and challenging situations.

Key Responsibilities:

• Provide legal counsel on a wide range of corporate, commercial, privacy, and regulatory matters related to the CP & ESG business unit, specifically focusing on the TeamMate products and services.
• Draft, negotiate, interpret, manage, and enforce all types of agreements, including customer agreements, vendor agreements, and partner, joint venture, and strategic alliance arrangements.
• Stay informed about significant legal developments and keep CP & ESG's business representatives and Managing Legal Counsel updated.
• Collaborate with other members of the GCLD team as needed.
• Effectively manage outside counsel in a cost-effective manner.
• Develop a deep understanding of the CP & ESG business unit, including its people, organization, markets, products, customers, competitors, and regulatory environment.
• Educate business teams on contract forms, best practices, and internal review and approval procedures.
• Support the GCLD's M&A, regulatory, employment, and litigation teams on matters related to CP & ESG TeamMate.
• Perform other duties as assigned by leadership.

Experience and Qualifications:

• Bachelor's degree and law degree (.).
• Admitted to practice law in the state where the assigned office is located (in-house or with an in-house counsel/single-client exemption).
• 2-5 years of corporate/commercial legal experience.
• Experience at a law firm and in-house a plus, but not required.
• Strong legal acumen and analytical skills.
• General understanding of privacy laws and regulations (or willingness to learn).
• Excellent legal drafting and negotiating skills.
• Strong communication and change management abilities.
• Unquestioned integrity and business ethics.
• Proactive, energetic, and enthusiastic approach.

Compensation:

• Target salary range for CA, CT, CO, HI, NY, WA: $112,000-$156,650.
• Target salary range for all other locations: $101,000-$141,400.
• Bonus eligible role.
