Job Details:

  • Provide significant experience in employee benefits and executive compensation counseling.
  • Counsel on benefits and compensation issues in mergers, acquisitions, and divestitures
  • Research tax and ERISA issues affecting retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans
  • Review statutory and regulatory changes and advise clients on effective compliance strategies.
  • Assist with due diligence, purchase agreement review, plan terminations, and benefits integration in corporate transactions.
  • Draft employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements
  • Complete IRS and Department of Labor correction program filings
  • Preferred experience with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance

 

Experience:

4-6 years of experience

 

Requirements:

  • Juris Doctor (.) from an accredited law school
  • Admitted to practice in the state of Arizona
