In this role, you will be responsible for providing legal counsel to the Board of Directors and Executive Team, managing the Legal Department, and ensuring the Company's compliance with all applicable laws and regulations.

Duties and Responsibilities:

- Develop and oversee legal strategy to support Company goals and priorities
- Lead and mentor the Legal Team, including managing relationships with outside counsel
- Prepare and distribute communications and materials for Board and Stockholder meetings

Requirements:

duties and responsibilities:

provide legal counsel to the board of directors and executive team, including:


legal strategy

oversee the delivery of legal services and resources to achieve company goals, strategies, and priorities;
maintain a deep understanding of the company's business and industry and provide leadership in strategic business decisions from a legal perspective;
oversee m&a and strategic company initiatives;

legal department leadership and management

manage, develop, and mentor the legal team;
establish and manage relationships with outside counsel;
develop and oversee the legal department budget and spending;

corporate governance and compliance

prepare and distribute communications and materials for all meetings of the board of directors and its committees, and draft minutes and resolutions for the same;
prepare and distribute communications and materials for all stockholder meetings, and draft minutes and resolutions for the same;
draft communications and written consents for the board of directors and its committees, and stockholders;
draft and revise the corporate charter, bylaws, stockholders’ agreements, and other corporate organization documents, and prepare all corporate filings;
